Metal Media: The video production company operating under the name Metal Media, established at Constructieweg 88 G, 3641 SP, Mijdrecht, registered with the Dutch Chamber of Commerce under number 37090212.
Client: Any person or organisation entering into an agreement with Metal Media.
Agreement: Any arrangement between Metal Media and the Client concerning the provision of services or goods.
Services: All activities performed by Metal Media, including video production, filming, editing, concept development, creative advice and related multimedia services.
Conditions: These general terms and conditions.
These Conditions apply to all offers, quotations, agreements and services provided by Metal Media, unless agreed otherwise in writing. Any purchasing conditions of the Client are expressly rejected unless accepted in writing by Metal Media.
If a provision is found to be invalid or unenforceable, the remaining provisions remain in effect. Any deviations must be agreed upon in writing and apply only to the relevant Agreement. Where an Agreement expressly conflicts with these Conditions, the Agreement takes precedence.
Offers and quotations are non-binding unless stated otherwise and are valid for the period specified. All quotations are based on the information supplied by the Client.
An Agreement is concluded when the Client accepts Metal Media’s offer in writing, or when Metal Media begins work at the Client’s request. A written order confirmation may specify the scope, price, delivery schedule and other conditions of the assignment.
All prices exclude VAT and other applicable charges unless expressly stated otherwise. Travel, accommodation, equipment rental, third-party services and licensing costs are charged separately unless included in the quotation.
Concepts, scripts, designs, proposals and other materials created by Metal Media remain its intellectual property unless agreed otherwise in writing.
Metal Media will perform its Services with reasonable care and professional skill. Unless a specific result is expressly agreed in writing, Metal Media undertakes a best-efforts obligation rather than guaranteeing a particular outcome.
Metal Media may engage freelancers, subcontractors and other third parties where reasonably necessary. Metal Media will exercise appropriate care when selecting them.
The Client must provide all information, materials, approvals and cooperation reasonably required for the project in a timely manner. Delays caused by the Client may extend delivery times and result in additional costs.
For projects carried out in phases, Metal Media may postpone subsequent phases until the Client has approved the preceding phase.
Metal Media will inform the Client of the expected delivery schedule. Delivery dates are estimates unless expressly agreed in writing as binding deadlines.
Changes or additions to the assignment must be agreed upon by both parties, including any additional fees and revised deadlines. Additional work may be charged separately.
Unless otherwise agreed in writing, the Client is entitled to one reasonable round of revisions to the first version of the final production. Revision requests must be submitted in writing within ten working days of delivery of that version. Substantial changes, additional editing or late requests may incur extra charges.
If Metal Media fails to meet an expressly agreed binding deadline, the Client must provide written notice of default and allow a reasonable period of at least 14 days to remedy the failure, unless the law provides otherwise.
All fees are stated in euros and exclude VAT unless otherwise specified. Metal Media may request a reasonable advance payment before commencing work.
If no fixed fee has been agreed, charges will be based on the applicable rates and time spent. Additional work, travel, accommodation, equipment, music, voice-over talent, third-party services and other project expenses will be charged separately where applicable and disclosed or agreed as required by law.
If unforeseen circumstances or changes in the scope of work materially increase the costs, Metal Media will inform the Client and agree on any necessary price adjustment before proceeding with the additional work.
Cancellation charges may apply where the Client cancels or postpones a confirmed booking. Unless otherwise agreed, cancellation within 48 hours of the scheduled work may result in a charge of 50% of the quoted labour costs and 25% of the equipment costs, together with reasonable, non-refundable third-party expenses. Any charges remain subject to applicable law.
Invoices must be paid within 30 days of the invoice date unless agreed otherwise in writing.
For projects exceeding €6,000 excluding VAT, or projects involving significant third-party expenses or equipment rental, Metal Media may require a 50% deposit before work begins, with the balance payable upon completion, as specified in the quotation.
If payment is overdue, the Client owes the applicable statutory interest and, where legally recoverable, reasonable collection costs. Consumer clients will receive any legally required notice and payment period before collection costs are charged.
The Client may not withhold or offset payments except where permitted by law. Metal Media may suspend work or delivery after giving any notice required by law if the Client fails to meet its payment obligations.
The duration of an Agreement will be specified in the quotation or order confirmation. Agreements for an indefinite period may be terminated in writing with two months’ notice, unless agreed otherwise or the law requires otherwise.
Fixed-term Agreements may be terminated early by mutual agreement or where permitted by law or the Agreement. If the Client cancels a project, Metal Media may charge for work already performed, committed expenses and reasonable cancellation costs, subject to applicable law.
Metal Media may suspend work or terminate an Agreement where the Client materially fails to meet its obligations, fails to provide agreed security or payment, or circumstances reasonably indicate that the Client will not fulfil its obligations. Where required, Metal Media will first provide notice and a reasonable opportunity to remedy the breach.
Upon termination, outstanding amounts for completed work and recoverable costs become payable in accordance with the Agreement and applicable law.
Voice-over talent, music licences, stock footage, images and other third-party materials are excluded from the quotation unless expressly included.
The parties must agree on who will obtain the necessary licences and permissions for the intended use. Where the Client supplies materials, the Client warrants that it has the necessary rights and permissions for their use and indemnifies Metal Media against third-party claims arising from a breach of that warranty, except to the extent caused by Metal Media.
Any applicable copyright or neighbouring-rights fees, including fees payable to relevant collecting societies, must be paid by the party responsible under the Agreement or applicable law.
Metal Media will perform its Services with reasonable professional care. The Client is responsible for the accuracy, legality and completeness of materials and instructions supplied by the Client.
To the extent permitted by law, Metal Media’s liability is limited to direct damage caused by an attributable failure to perform its obligations. Where legally permissible, total liability is limited to the amount paid by the Client for the relevant assignment, excluding VAT, subject to any applicable insurance coverage and mandatory legal exceptions.
Metal Media is not liable for indirect or consequential loss, including lost profits, loss of business, missed opportunities or data loss, except where such exclusion is prohibited by law.
These limitations do not apply where liability cannot legally be excluded or limited, including where applicable in cases of intent or deliberate recklessness by Metal Media’s management.
The Client must notify Metal Media in writing of any alleged defect or damage within a reasonable time after discovery and provide sufficient information for investigation. Nothing in these Conditions excludes any mandatory statutory rights or remedies.
Metal Media is not liable for delays or failures caused by circumstances beyond its reasonable control, including illness, strikes, power or network outages, transport disruptions, cyberattacks, government measures and failures of essential third-party services.
During such circumstances, Metal Media may suspend its obligations for the duration of the disruption. If the situation continues for more than three months, either party may terminate the affected part of the Agreement in writing, subject to applicable law. Work already performed and expenses properly incurred remain payable.
The Client must inspect delivered work promptly and notify Metal Media in writing of any defects within a reasonable time after discovery, describing the issue clearly. Where practicable, complaints should be submitted within 14 days of discovery and no later than 30 days after delivery.
Metal Media will assess justified complaints and, where appropriate, correct the work or agree on another reasonable solution. The Client must provide a reasonable opportunity for Metal Media to remedy the issue.
The revision arrangements in Article 5 are separate from the handling of defects and do not limit any mandatory legal rights.
Both parties must treat confidential information received from the other party as confidential and use it only for the purposes of the Agreement. This obligation does not apply to information that is public, independently obtained or required to be disclosed by law.
Neither party may disclose the other party’s confidential materials to third parties without permission, except where necessary to perform the Agreement or where disclosure is legally required.
Metal Media will take reasonable care of materials entrusted to it by the Client but cannot guarantee indefinite or risk-free storage.
Unless otherwise agreed, Metal Media will retain raw footage and project files for up to two months after delivery. Longer storage or archiving may be arranged for an additional fee.
The Client is responsible for maintaining its own backups after delivery. Metal Media is not liable for loss of files caused by circumstances beyond its reasonable control, subject to applicable law.
Unless agreed otherwise in writing, intellectual property rights in concepts, scripts, footage, edits, designs and final productions created by Metal Media remain with Metal Media.
Once the Client has paid all amounts due, the Client receives a licence to use the final production for the purposes and channels agreed in writing. The licence’s territory, duration, exclusivity and permitted uses are determined by the Agreement. Any transfer of copyright or exclusive licence must be expressly agreed in writing.
Raw footage, unused material, project files and working documents are excluded from the licence unless expressly included in the Agreement. The Client may not substantially alter, re-edit, resell or incorporate the production into another work without Metal Media’s written permission, except where permitted by law or the Agreement.
Third-party materials may be subject to separate licensing terms. The Client is responsible for any permissions expressly allocated to it, including permissions relating to supplied materials, music, image rights and locations.
Unless the parties agree otherwise in writing, Metal Media may display the completed production or extracts in its portfolio, showreel and promotional channels only where legally permitted and after the production has been made public. Any required consents, confidentiality obligations and applicable privacy or publicity rights must be respected.
All Agreements are governed by Dutch law.
The parties will first attempt to resolve disputes through consultation. If no resolution is reached, the dispute may be submitted to the competent court in the Netherlands. Any exclusive choice of court is subject to mandatory legal rules, including rules protecting consumers.
These Conditions are available on the Metal Media website and will be provided to the Client in a retainable format before or when required for the conclusion of the Agreement.
The version provided to the Client and applicable when the Agreement is concluded governs that Agreement, unless a later version is validly agreed upon.
